Terms & Conditions
These Terms & Conditions govern the provision of transport, logistics, and related services by Remali Trading & Projects CC, trading as Remali Logistics ("Remali", "we", "us"), to any client, transporter, or other party engaging with us ("you", "the Client"). By engaging Remali's services, you agree to be bound by these terms.
1. About Remali Logistics
Remali Logistics is a South African-incorporated logistics and commodity trading company (Reg. No. 2006/062328/23), operating a combination of owned, leased, and outsourced fleet assets. We contract directly with clients and fulfil those contracts through a disciplined operating model, including the use of vetted, approved transporters.
2. Services
Remali provides road freight transport services, including but not limited to bulk commodity haulage, national tautliner freight, and import/export trade facilitation. Specific routes, rates, and service terms for any given engagement are set out in the applicable Service Level Agreement, rate card, or written quotation, which forms part of these terms by reference.
3. Quotations & Rates
Quotations and rate cards issued by Remali are valid for the period stated therein, or if no period is stated, for 30 days from the date of issue. Rates are subject to review and may be adjusted in writing to reflect changes in fuel costs, route conditions, or other material factors affecting the cost of service.
4. Payment Terms
Payment terms are as agreed in writing for each specific contract or engagement. Unless otherwise specified, invoices are payable within the timeframe stated on the invoice. Remali reserves the right to charge interest on overdue amounts at the rate prescribed under the Prescribed Rate of Interest Act 55 of 1975, subject to the common law in duplum rule.
5. Liability & Insurance
Remali maintains appropriate insurance cover, including public liability and goods-in-transit cover, in respect of services rendered. Remali's liability for any loss or damage arising from the provision of services is limited to the extent covered by applicable insurance, save where liability cannot lawfully be excluded or limited.
Where Remali engages a transporter or subcontractor to perform services on its behalf, that transporter is required to maintain their own appropriate insurance cover as a condition of engagement.
6. Client & Transporter Obligations
Clients are responsible for providing accurate information regarding goods to be transported, including weight, nature, and any special handling requirements. Transporters engaged by Remali are required to comply with all applicable documentation, compliance, and safety requirements communicated to them from time to time.
7. Force Majeure
Neither party shall be liable for any failure or delay in performance under these terms resulting from circumstances beyond their reasonable control, including but not limited to acts of God, strikes, civil unrest, or disruption to road infrastructure.
8. Cancellation
Cancellation terms for specific contracts or bookings are as set out in the applicable Service Level Agreement or written agreement. In the absence of specific terms, reasonable written notice must be given, and any costs already incurred by Remali or its transporters in preparation for the cancelled service may be recovered.
9. Confidentiality
Information shared between Remali and its clients or transporters in the course of business — including rates, routes, and client identities — is treated as confidential and shall not be disclosed to third parties without prior written consent, except where required by law.
10. Governing Law & Dispute Resolution
These terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these terms shall first be referred to good-faith negotiation between the parties. If not resolved within 14 days, the dispute shall be referred to and finally resolved by arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA).
11. Amendments
Remali reserves the right to amend these Terms & Conditions from time to time. Updated terms will be published on this website, and continued engagement with our services following such changes constitutes acceptance of the amended terms.
